Terms of Service

1. Agreement to Terms

By installing, accessing, or using 360 Analytics ("the Service") you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms do not use the Service.

These Terms constitute a legally binding agreement between you ("Merchant," "you," or "your") and Amalgam Partners ("we," "us," or "our").

2. Description of Service

360 Analytics is a business analytics platform that connects to your point-of-sale system (including Clover and Square) and provides features based on your subscription plan, including:

Real-time sales dashboards and analytics
Menu performance and profitability analysis
Customer loyalty insights
Weather integration with revenue charts (Pro and Business plans)
Google review tracking and sentiment analysis (Pro and Business plans)
AI-powered business assistant (Pro and Business plans)
Automated weekly and monthly email digests (Pro and Business plans)
Social media analytics for Instagram, TikTok, Facebook, and Google Business Profile (Pro and Business plans)
Financial data integration with QuickBooks Online (Pro and Business plans)

3. Eligibility

To use the Service you must:

Be at least 18 years of age
Be a registered merchant in good standing with your point-of-sale provider (Clover, Square, or other supported platforms)
Have the authority to bind your business to these Terms
Provide accurate and complete information during registration

4. Account Registration

When you install 360 Analytics you authorize us to access your merchant data as specified in Section 6 (Data Access and Permissions). You are responsible for:

Maintaining the confidentiality of your account credentials
All activity that occurs under your account
Notifying us immediately of any unauthorized use at contact@amalgampartners.com

5. Subscription and Billing

5.1 Free Trial

New merchants receive a 14-day free trial upon installation. During the free trial you will have access to Pro tier features. No payment is required during the trial period. At the end of the trial period you will automatically be placed on the Pro plan unless you cancel before the trial expires or choose a different plan.

By installing 360 Analytics you authorize billing to begin automatically at the end of the trial period at the then-current Pro plan rate unless you cancel before the trial expires.

5.2 Subscription Plans

Following the free trial the Service is available at the following tiers:

Starter Plan:

Monthly: $24.99 per month (~$17.49 net after marketplace fees)
Annual: $199.00 per year (~$139.30 net after marketplace fees)
Includes: Overview, Menu & Promotions, and Trends & Customers tabs · 1 location
Does not include: AI assistant, weather integration, email digests, Google reviews, social media analytics, or QuickBooks integration

Pro Plan:

Monthly: $49.99 per month (~$34.99 net after marketplace fees)
Annual: $399.00 per year (~$279.30 net after marketplace fees)
Includes: All Starter features plus AI assistant, weather integration, weekly and monthly email digests, Google reviews, social media analytics (Instagram, TikTok, Facebook, Google Business Profile), QuickBooks integration · 1 location

Business Plan:

Monthly: $69.99 per month (~$48.99 net after marketplace fees)
Annual: $559.00 per year (~$391.30 net after marketplace fees)
Includes: All Pro features plus up to 10 locations, priority support, and dedicated account manager

5.3 Trial to Pro Conversion

At the end of your 14-day free trial your account will automatically convert to the Pro plan at $49.99 per month unless you:

Cancel your subscription before the trial expires
Contact us at contact@amalgampartners.com to switch to a different plan before the trial ends

We will send a reminder email before your trial expires to notify you of the upcoming conversion.

5.4 Billing

Subscription fees are billed and collected through the applicable app marketplace billing system (Clover App Market or other supported platforms). By subscribing you authorize the applicable platform to charge your payment method on file on a recurring basis.

5.5 Price Changes

We reserve the right to modify our pricing with 30 days notice. Notice will be provided via email and within the dashboard. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5.6 No Refunds

All subscription fees are non-refundable except where required by applicable law. If you cancel your subscription you will retain access to the Service until the end of your current billing period.

6. Data Access and Permissions

6.1 Point-of-Sale Data

By connecting your point-of-sale account you grant us read-only permission to access the following data:

Payment and transaction records
Order history and line items
Menu items, categories, and costs
Customer and loyalty data
Employee information
Merchant profile and business information
Discount definitions
Cash drawer records
Tax configuration

This access is read-only. We will never modify, delete, or write data to your point-of-sale account. You may revoke these permissions at any time by uninstalling 360 Analytics.

6.2 QuickBooks Online Data (Pro and Business plans)

If you choose to connect your QuickBooks Online account you grant us read-only permission to access:

Profit and Loss reports
Expense transactions and categories
Company information
Chart of accounts

This access is strictly read-only. We will never create, modify, delete, or write any data to your QuickBooks account. You may revoke this permission at any time by disconnecting QuickBooks from your dashboard settings or contacting us at contact@amalgampartners.com.

7. Plan Features and Limitations

Access to features is determined by your current subscription plan. We reserve the right to modify the features included in each plan with 30 days notice. If a feature is removed from your plan tier you will be notified via email before the change takes effect.

Feature availability per plan:

Starter: Core Clover analytics (Overview, Menu & Promotions, Trends & Customers tabs), 1 location
Pro: All Starter features plus AI assistant, weather integration, email digests, Google reviews, social media analytics, QuickBooks integration, 1 location
Business: All Pro features plus up to 10 locations, priority support, dedicated account manager

8. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to any part of the Service or its infrastructure
Share your account credentials with unauthorized third parties
Use the Service to transmit malicious code or interfere with its operation
Attempt to reverse engineer or extract the underlying AI models or data pipelines
Use the AI assistant to generate content that is harmful, misleading, or illegal
Resell or sublicense access to the Service without our written consent

9. Intellectual Property

9.1 Our Property

The Service, including all software, algorithms, designs, reports, and AI models, is owned by Amalgam Partners and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period.

9.2 Your Data

You retain full ownership of your business data. We do not claim any ownership rights over your point-of-sale data, QuickBooks data, transaction records, or business information. You grant us a limited license to access and process your data solely for the purpose of providing the Service.

10. Third-Party Services

The Service integrates with third-party services including Anthropic (AI assistant), Resend (email delivery), DataForSEO (Google reviews), Metricool (social media analytics), Intuit QuickBooks (financial data), and Open-Meteo (weather data). Your use of these integrations is subject to the respective third parties' terms of service and privacy policies. We are not responsible for the practices or content of these third-party services.

Regarding social media integrations: by connecting your Instagram, TikTok, Facebook, or Google Business Profile accounts you authorize Metricool to access your social media analytics data on your behalf. You may disconnect your social media accounts at any time by contacting contact@amalgampartners.com.

Regarding QuickBooks integration: by connecting your QuickBooks Online account you authorize 360 Analytics to read your financial data via Intuit's API. This connection can be revoked at any time from your dashboard. We access QuickBooks data in read-only mode and never make changes to your accounting records.

11. Disclaimers

11.1 No Warranties

The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific business requirements.

11.2 AI Assistant

The AI assistant provides automated analysis based on your data. It is not a substitute for professional financial, legal, or business advice.

11.3 Data Accuracy

Analytics and insights are only as accurate as the underlying data from your connected accounts. We are not responsible for errors in data provided by Clover, Square, QuickBooks, or other third-party sources.

11.4 Financial Information

Financial data displayed from QuickBooks is for informational purposes only. Always consult a qualified accountant or financial advisor for important business decisions.

12. Limitation of Liability

To the maximum extent permitted by law Amalgam Partners shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid to us in the three months preceding the claim.

13. Cancellation and Termination

13.1 Cancellation by You

You may cancel your subscription at any time by uninstalling 360 Analytics from your app marketplace or by contacting us at contact@amalgampartners.com. Cancellation takes effect at the end of your current billing period.

13.2 Termination by Us

We reserve the right to suspend or terminate your access immediately if you violate these Terms, fail to pay subscription fees, or we are required to do so by law.

13.3 Effect of Termination

Upon termination your data will be retained for 90 days as described in our Privacy Policy, after which it will be permanently deleted.

14. Governing Law

These Terms are governed by the laws of the State of New York. Any disputes shall be resolved in the courts of New York.

15. Dispute Resolution

Before filing any legal claim you agree to contact us at contact@amalgampartners.com and attempt to resolve the dispute informally within 30 days.

16. Entire Agreement

These Terms together with our Privacy Policy constitute the entire agreement between you and Amalgam Partners regarding the Service.
